Introduction

Welcome to StubKeeper. These Terms of Service ("Terms") constitute a legally binding agreement between you and StubKeeper, Inc. ("StubKeeper," "we," "us," or "our") governing your use of the StubKeeper mobile application and related services (the "Service").

By creating an account or using StubKeeper, you agree to be bound by these Terms. If you do not agree, do not use StubKeeper.

⚠️ CRITICAL NOTICES

Blockchain Permanence

ALL BLOCKCHAIN TRANSACTIONS ARE PERMANENT. Once you commit data to the Polygon blockchain (including your username, NFTs, metadata, and tags), it cannot be deleted, modified, or hidden by anyone — including StubKeeper.

Wallet Security

Your wallet is protected by Shamir's Secret Sharing, splitting access across three shares. If you lose access to two or more shares, your wallet becomes permanently inaccessible and we cannot recover it.

True Ownership

"You own your memories — and only you." StubKeeper cannot access, transfer, freeze, or censor your NFTs. This is a feature, not a limitation.

1. Eligibility and Account Registration

1.1 Eligibility

To use StubKeeper, you must:

  • Be at least 13 years old (or 16 in the European Economic Area)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable law

1.2 Account Creation

You create an account by signing in with Google or Apple. By doing so, you:

  • Authorize us to receive your email address and display name
  • Confirm the information you provide is accurate
  • Agree to maintain the security of your login credentials

1.3 Username Selection

You will be prompted to select a username. Your username:

  • Must be unique (3-20 characters, alphanumeric and underscores only)
  • Is stored permanently on the Polygon blockchain
  • Cannot be changed or deleted once set
  • May be subject to our prohibited content policies

Choose your username carefully. It is permanent.

3. Wallet Architecture and Security

3.1 Shamir's Secret Sharing

Your wallet's private key is protected using Shamir's Secret Sharing, which splits access into three encrypted shares. Any two of three shares are required to access your wallet.

3.2 The Three Shares

3.3 Security Properties

No single party has complete access:

  • StubKeeper does not hold any shares
  • Privy holds only the Auth Share and cannot access your wallet alone
  • You control the Device Share and (optionally) the Cloud Share

This means:

  • StubKeeper cannot access, freeze, or seize your NFTs
  • Privy cannot access your wallet without your Device or Cloud Share
  • Only you, with 2 of 3 shares, can authorize transactions

3.4 Your Security Responsibilities

You are responsible for:

  • Maintaining access to your Google or Apple account
  • Keeping your device secure and updated
  • Enabling two-factor authentication on your login accounts
  • Making informed decisions about Cloud Backup enrollment
  • Securely storing your private key if you choose to export it

4. Account Recovery

4.1 Recovery Matrix

4.2 What We Can Help With

  • Explaining your recovery options
  • Guiding you through the recovery process
  • Providing documentation and support

4.3 What We Cannot Do

We cannot:

  • Recover your wallet if you've lost access to 2+ shares
  • Reset your wallet or create a new one linked to your memories
  • Reverse or undo any blockchain transactions
  • Access your wallet or sign transactions on your behalf

4.4 Unrecoverable Wallet

If you lose access to two or more shares, your wallet becomes permanently inaccessible. Your NFTs will still exist on the blockchain and remain visible, but you will not be able to transfer them or add new memories to that wallet.

This is an intentional security feature. It ensures true ownership — no one, including StubKeeper, can take your memories from you. The trade-off is that we cannot help you if you lose access.

10. Disclaimers and Limitations of Liability

10.1 Service Provided "As Is"

STUBKEEPER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS

10.2 Blockchain Disclaimers

WE SPECIFICALLY DISCLAIM LIABILITY FOR:

  • The permanence of blockchain data (this is a feature, not a bug)
  • Public visibility of blockchain transactions
  • Network congestion, fees, or outages
  • Changes to the Polygon network
  • Third-party access to public blockchain data

10.3 Security Disclaimers

WE SPECIFICALLY DISCLAIM LIABILITY FOR:

  • Lost access to your wallet due to lost shares
  • Compromised wallets due to your security failures
  • Unauthorized access to your Google/Apple accounts
  • Compromised cloud storage accounts

10.4 No Investment Advice

StubKeeper is a memory preservation service, NOT an investment platform.

  • NFTs minted on StubKeeper represent memories, not investments
  • We make no claims about future value or resale potential
  • Cryptocurrency markets are highly volatile
  • You may lose money on transaction fees

DO NOT use StubKeeper with the expectation of financial returns.

BY CREATING AN ACCOUNT OR USING STUBKEEPER, YOU ACKNOWLEDGE:

  • ✓ You have read and understood these Terms in their entirety
  • ✓ You agree to be legally bound by these Terms
  • ✓ You understand blockchain transactions are permanent and public
  • ✓ You understand the 2-of-3 share security model
  • ✓ You accept that losing 2+ shares means permanent wallet inaccessibility
  • ✓ You will not submit prohibited or illegal content
  • ✓ You accept the liability limitations and dispute resolution terms
  • ✓ You accept that StubKeeper cannot access, recover, or control your wallet
  • ✓ You understand this is a memory preservation service, not an investment platform
